Milan, March 26, 2025 - Klecha & Co., an independent pan-European investment bank specializing in the tech sector, acted as financial advisor to Bain Capital, one of the world's leading private investment firms, in its acquisition of a controlling stake in Namirial, a leading provider of digital transaction management software solutions.
Under the terms of the agreement, Italian private equity firm Ambienta will sell a majority stake in Namirial to Bain Capital.
Ambienta had acquired Namirial in 2020 and, on that occasion, was assisted by Klecha & Co. as financial advisor.
The acquisition by Bain Capital is aimed at supporting Namirial in its international expansion, enhancing its product offering and pursuing mergers and acquisitions to consolidate its leadership in digital transaction management software.
The transaction is expected to close in the second quarter of 2025, subject to customary closing conditions and regulatory approvals.
