10 December 2025 - Klecha & Co., the independent pan-European investment bank specialized in the tech sector, acted as financial advisor to Studio Informatica S.r.l. on the sale of its RegTech platform Smouse to Namirial, a European leader in digital trust and digital transaction management solutions, backed by Bain Capital, PSG Equity and Ambienta.
Founded in 1995 and headquartered in Piacenza, Studio Informatica is a specialist in regulatory compliance software for financial institutions and corporates. The company supports major Italian banks, insurance groups and large enterprises with advanced software solutions—many of which are embedded in clients’ core processes and delivered through highly recurring SaaS models.
Smouse’s solutions enable organizations to automate certified communications, monitor AML requirements, manage reporting obligations to tax authorities and streamline critical banking workflows, helping clients reduce operational risk and keep pace with an increasingly complex and evolving regulatory environment.
Under the agreement signed today, Studio Informatica’s shareholders will reinvest a portion of the proceeds, joining Namirial’s shareholding structure. Namirial will integrate Smouse’s solutions into its portfolio of digital identity, e-signature and trust services.
